Job Description:
Legal Counsel will work primarily with sales and procurement counterparts to achieve sales and procurement contracts that satisfy Cytec's business and legal objectives. Major responsibilities include

* provide efficient delivery of legal counsel responsive and supportive of business objectives

* review contracts to identify risks (including, but not limited to, financial, intellectual property, operational, penalties, warranties, legal liabilities etc.) and achieve succesful negotiated outcomes with customers and suppliers

* develop strong, trusted relationships with business partners and external customers.

* ensure collaboration with internal functions, (such as IP, risk management, export compliance, operations, SHE), to achieve business objectives.

* ensure that business maintains highest standard of ethical conducts and regulatory compliance.

* educate the sales force and business management in understanding risks and liabilites in contract terms and conditions, both formally and informally

* learn the drivers for the business to identify opportunities to improve customer relations

* Ability to understand and evaluate legal issues in the context of larger buisiness goals and advise on risk/reward balance.

* Possess strong business instinct, sound judgment and problem-solving approach

* Ability to effectively communicate with all levels of employees within the company and with customers and suppliers and use influence to accomplish results

* Strong problem-solving skills and broad knowledge of options to be considered to resolve difficult contract issues.

* Ability to establish strong working relationsips with sales team and business management, good listening skills, and service orientation.

* experience advising business decission makers on contract matters (including financial, intellectual property, warranty, indemnities, penalties, and similar mattters)

* familiarity with government FAR/DFAR clauses is desirable

* financial accumen - to assess risk/exposure in contracts

* good interpersonal and teaming skills

* aerospace experience a plus

* A JD is required. No less than 3 years of commercial transaction practice (law firm or in-house).
